Key's Touch provides AI automation, software development, consulting, and related technology services ("Services"). The specific scope, deliverables, timeline, and fees for any engagement will be defined in a separate Statement of Work (SOW) or service agreement signed by both parties.

2. Use of the website

You agree to use our Site only for lawful purposes. You may not:

  • Use the Site in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to any part of the Site or its systems
  • Use automated tools to scrape, crawl, or extract data from the Site without permission
  • Transmit viruses, malware, or any harmful code
  • Impersonate any person or entity

3. Intellectual property

Our IP: All content on this Site — including text, graphics, logos, design, and code — is the property of Key's Touch and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

Client IP: For paid engagements, intellectual property ownership of deliverables will be defined in the applicable SOW or service agreement. Unless otherwise agreed in writing, clients own the final deliverables upon full payment.

4. Free consultations and audits

We offer free automation audits and consultations. These are provided "as-is" for informational purposes only and do not constitute professional advice. Any recommendations made during a free consultation are non-binding and do not create a client relationship until a formal agreement is signed.

5. Payments and fees

Payment terms for Services will be outlined in the applicable SOW or service agreement. Unless otherwise specified:

  • Invoices are due within 14 days of receipt
  • Late payments may incur a fee of 1.5% per month
  • We reserve the right to pause work on overdue accounts

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement. This obligation survives termination of any agreement between the parties.

7. Limitation of liability

To the maximum extent permitted by law:

  • Our Site and its content are provided "as is" without warranties of any kind
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability for any claim arising from Services shall not exceed the fees paid by you for the specific service giving rise to the claim

8. Indemnification

You agree to indemnify and hold harmless Key's Touch, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Site or breach of these Terms.

9. Third-party services

Our Site uses third-party services including Formspree, Calendly, GitHub Pages, and Ketch. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party service availability or practices.

10. Termination

We reserve the right to terminate or restrict your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
